Terms & Conditions

1. General Disclaimer

PayGURU Technosoft Pvt. Ltd. (“PayGURU”) provides services, applications, and solutions including, but not limited to, cloud platforms, Android/iOS applications, biometric devices, and HRMS/CLMS software. These are provided strictly on an “as is” and “as available” basis. No express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability, are given.

2. Accuracy of Information

While PayGURU implements reasonable controls to ensure accuracy, completeness, and integrity of data in accordance with ISO/IEC 27001:2022 requirements, no guarantee is provided regarding absolute accuracy, timeliness, or completeness of information or reports generated. Clients remain responsible for validating information before use. PayGURU disclaims liability for reliance placed upon such information by clients or their employees.

3. Biometric & Device Disclaimer

Biometric devices, authentication mechanisms, and related hardware/software solutions are subject to operational, environmental, and third-party network limitations. PayGURU shall not be liable for any failure, downtime, or reduced performance attributable to external conditions, hardware limitations, or third-party service interruptions.

4. No Legal, Tax, or Compliance Advice

Outputs generated through PayGURU’s HRMS/CLMS solutions are intended solely for administrative assistance and do not constitute legal, tax, financial, or statutory compliance advice. Clients are solely responsible for ensuring compliance with applicable Indian labour laws, GST, EPFO, ESIC, or any other regulatory/statutory obligations. PayGURU does not assume responsibility for non-compliance arising from client’s failure to meet statutory requirements.

5. Limitation of Liability

To the maximum extent permitted under Indian law, PayGURU’s liability for claims arising from use of its services, whether on-premises or cloud-based, shall be limited to direct damages only. PayGURU shall not be liable for indirect, incidental, consequential, or special damages, including but not limited to data loss, business interruption, or loss of profits.

6. Information Security & Client Responsibility

PayGURU maintains an Information Security Management System (ISMS) aligned with ISO/IEC 27001:2022 to safeguard confidentiality, integrity, and availability of client data. However:

– Clients are responsible for secure configuration, access control, and use of PayGURU services.

– Clients must ensure that their employees, contractors, or authorized users comply with applicable information security policies and procedures.

– PayGURU is not responsible for breaches, misuse, or data exposure resulting from client-side negligence, weak authentication practices, or non-compliance with security recommendations.

 

7. Confidentiality & Data Protection

PayGURU implements appropriate organizational and technical measures in line with ISO/IEC 27001:2022 to protect client data from unauthorized access, disclosure, alteration, or destruction. Both parties shall maintain confidentiality of all non-public information exchanged under this agreement.

8. Data Retention & Disposal

Data collected, processed, or stored through PayGURU’s systems shall be retained only for the duration required to provide contracted services or as mandated by applicable law. Upon termination of services, PayGURU shall ensure secure deletion or return of client data in accordance with ISO/IEC 27001:2022 control requirements.

9. Incident Management & Reporting

PayGURU maintains an incident response framework in compliance with ISO/IEC 27001:2022. In the event of a security incident affecting client data, PayGURU shall notify the client within a reasonable timeframe and take corrective and preventive actions. Clients must also report any suspected misuse of services or compromise of access credentials without delay.

10. Third-Party Services & Integrations

Where PayGURU integrates or relies upon third-party services (e.g., cloud hosting providers, payment gateways, telecom/internet providers), PayGURU shall take reasonable steps to assess their security compliance. However, PayGURU shall not be held liable for failures, unavailability, or security breaches arising directly from such third-party services.

11. Client Responsibilities

Clients shall:

– Ensure lawful use of services and compliance with relevant regulations.

– Maintain accurate employee/contractor data entered into the system.

– Implement strong authentication and access control for their users.

– Not attempt unauthorized modification, reverse engineering, or misuse of PayGURU’s systems.

12. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad / Gujarat.
